InspectPro Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the InspectPro application, related websites, and supporting cloud services provided by InfraSynex Pty Ltd ("InfraSynex", "we", "us", or "our").

By creating an account, accessing, or using InspectPro, you agree to these Terms. If you use InspectPro on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

1. Eligibility and use of the service

You may use InspectPro only in compliance with these Terms, applicable law, and any policies or instructions we make available for the service.

You are responsible for:

  • ensuring that your use of InspectPro complies with workplace, contractual, professional, regulatory, privacy, and record-keeping obligations that apply to you or your organization;
  • keeping your account credentials secure and controlling access to your devices;
  • all activity that occurs under your account, except to the extent caused by our own failure to provide reasonable security for the service.

2. Professional responsibility

InspectPro is a workflow and reporting tool. It does not replace professional judgment, statutory obligations, engineering assessment, supervisory review, or independent verification where those are required.

You remain solely responsible for the accuracy, completeness, legality, and suitability of inspections, observations, reports, declarations, recommendations, and decisions made using InspectPro.

3. Accounts and security

You must provide accurate and current account information and keep it updated.

You must promptly notify us at support@infrasynex.com if you believe:

  • your account has been compromised;
  • someone has accessed your account without authorization; or
  • there has been unauthorized use of data stored in InspectPro.

We may require reasonable verification before we act on certain account or security requests.

4. Organization-managed accounts

If InspectPro is provided to you through an employer, contractor, government body, or other organization:

  • that organization may control workspace settings, user access, report retention, and account lifecycle decisions;
  • that organization may access, export, retain, or delete data associated with its workspace;
  • your use may also be subject to separate commercial terms between InfraSynex and that organization.

If there is a conflict between these Terms and a signed enterprise or order-form agreement, the signed agreement controls to the extent of the conflict.

5. Subscriptions, trials, and billing

Some InspectPro features may require a paid plan, subscription, or separate commercial arrangement.

Pricing, billing intervals, included features, trial terms, renewal settings, and plan restrictions may be presented:

  • in the app;
  • through an app store listing;
  • in an order form, quote, or separate written agreement; or
  • through a third-party subscription or billing provider.

Unless required by law or expressly stated otherwise:

  • fees are non-refundable;
  • failure to maintain payment may result in reduced access, suspension, or termination of paid features;
  • app store subscriptions are also subject to the terms and billing rules of the relevant platform provider.

6. Your content and data

You retain ownership of the content and data you create, upload, sync, or share through InspectPro, including reports, notes, photos, signatures, attachments, voice notes, and exported materials.

You are solely responsible for ensuring that:

  • you have all rights, permissions, consents, and authority needed to use that content;
  • the content does not infringe rights, breach confidentiality obligations, or violate law;
  • you have appropriate authorization to collect, upload, store, or share information about sites, people, assets, or projects.

You grant InfraSynex a limited, non-exclusive, worldwide license to host, store, reproduce, process, transmit, back up, and display your content only as reasonably necessary to operate, secure, support, maintain, and improve InspectPro and to comply with applicable law.

7. Acceptable use

You must not, and must not allow others to:

  • use InspectPro in violation of law or the rights of others;
  • upload malicious code, deceptive content, spam, or material you are not authorized to use;
  • interfere with service performance, reverse engineer the service except to the extent permitted by law, or attempt to bypass security or access controls;
  • access accounts, reports, or systems without authorization;
  • use InspectPro to develop a competing service through unauthorized copying or extraction of service logic, data structures, or protected materials.

8. Third-party services

InspectPro may integrate with or depend on third-party services, including app stores, cloud infrastructure, authentication, storage, mapping, notification, integrity, and billing providers.

We are not responsible for third-party products or services except to the extent required by law. Your use of those services may also be governed by separate terms and privacy notices.

9. Privacy

Your use of InspectPro is also subject to the InspectPro Privacy Policy.

10. Availability, changes, and support

We may add, remove, modify, suspend, or discontinue features, workflows, integrations, storage arrangements, or portions of InspectPro at any time, including for security, legal, technical, commercial, or operational reasons.

We do not guarantee uninterrupted, error-free, or always-available service. Planned or unplanned downtime, synchronization issues, device limitations, and third-party outages may affect access or performance.

11. Data backups and exports

Although InspectPro may provide synchronization, export, or recovery features, you are responsible for maintaining any backups, exports, approvals, or records that your operations or legal obligations require.

12. Intellectual property

InspectPro, including its software, user interface, design, trademarks, branding, documentation, and related materials, is owned by or licensed to InfraSynex and is protected by intellectual property laws.

Except for the limited rights expressly granted under these Terms, no rights are transferred to you.

13. Suspension and termination

You may stop using InspectPro at any time.

We may suspend, restrict, or terminate access to InspectPro if:

  • you breach these Terms;
  • your use creates legal, regulatory, or security risk;
  • required payments are not made;
  • we are directed to do so by your organization administrator;
  • continued provision of the service is no longer technically, legally, or commercially feasible.

Termination or suspension does not affect rights or obligations that accrued before termination.

14. Disclaimers

To the maximum extent permitted by law, InspectPro is provided on an "as is" and "as available" basis. InfraSynex disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation.

Nothing in these Terms excludes, restricts, or modifies rights or remedies that cannot lawfully be excluded, including applicable rights under the Australian Consumer Law.

15. Limitation of liability

To the maximum extent permitted by law, InfraSynex will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, anticipated savings, data, or use arising out of or related to InspectPro.

To the maximum extent permitted by law, InfraSynex's aggregate liability for claims arising out of or relating to InspectPro will not exceed the greater of:

  • the amount you or your organization paid to InfraSynex for InspectPro in the 12 months preceding the event giving rise to the claim; or
  • AUD $100.

16. Indemnity

You agree to defend, indemnify, and hold harmless InfraSynex, its officers, employees, and affiliates from claims, liabilities, damages, losses, and expenses arising from:

  • your content;
  • your misuse of InspectPro;
  • your breach of these Terms; or
  • your violation of law or the rights of any third party,

except to the extent caused by InfraSynex's own fraud, wilful misconduct, or non-excludable legal liability.

17. Governing law

These Terms are governed by the laws of Victoria, Australia, unless mandatory law in your jurisdiction requires otherwise. You submit to the non-exclusive jurisdiction of the courts of Victoria, Australia.

18. Changes to these Terms

We may update these Terms from time to time. If we do, we will publish the revised version at this page and update the "Last updated" date above. Your continued use of InspectPro after the revised Terms take effect constitutes acceptance of the updated Terms.
